RESULTS OF GENERAL MEETING

Shareholders are advised that at the general meeting of Primedia shareholders held at the registered office of Primedia, First Floor, Primedia Place, 5 Gwen Lane (Corner Fredman Drive), Sandown, Sandton on Friday, 18 November 2005, the necessary resolutions to give effect to the proposed black economic empowerment transaction ("the proposed BEE transaction"), as detailed in the circular to Primedia shareholders dated 3 November 2005, were passed by the requisite majority of shareholders.

Primedia shareholders are advised that all the conditions precedent to the proposed BEE transaction have been met, and accordingly the proposed BEE transaction is unconditional.
